These Terms of Service ("Terms") govern your use of Hermes API at https://api.hermes-ai.net, including its console, documentation, Playground and API (together, the "Service"). The Service is operated by MIMOS AI LTD ("we", "us", "our").

Please read these Terms together with our Privacy Policy, which explains how we handle personal data.

1.Who we are and accepting these Terms#

MIMOS AI LTD is a private limited company registered in England and Wales under company number 15265239. Our registered office is 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. You can contact us at support@hermes-ai.net.

By creating an account, creating an API key, submitting a task or purchasing credits, you agree to these Terms. You must be at least 18 years old to use the Service. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms for it, and "you" includes that organisation.

If you do not agree to these Terms, please do not use the Service.

2.The Service#

Hermes API is a developer platform for AI generation. Through one HTTP API or the web Playground you can submit tasks to the image, video, audio and text models listed in our catalog, check their status and download the results. The Service is supplied digitally; no physical goods are delivered.

Third-party model execution

We do not train or host the generation models ourselves. We send each task to a third-party model execution platform, currently RunningHub, which runs the selected model and returns the result to us. We then store the result and make it available to you.

Model names and developer brands in the catalog identify each model and where it comes from. Showing them does not mean that the model's developer endorses, sponsors or is affiliated with Hermes API. Some models are subject to additional terms set by their developer or by the execution platform (see Your content and outputs).

The models on offer, their speed and their output quality depend in part on these third parties. We may add, pause or retire models. Doing so does not change the price quoted for a task we have already accepted.

Limits of AI output

AI-generated output can be inaccurate, incomplete, biased or different from what you expected, and the same input can produce different results. Review output before you rely on it. Output is not legal, medical, financial or other professional advice.

3.Accounts and API keys#

You register and sign in with Google or GitHub using an account with a verified email address. Keep your account details accurate and your sign-in credentials secure.

  • New API keys can be viewed again in your signed-in console. Store keys in a secure secrets manager and never put it in client-side code or public repositories.
  • Choose an expiration date or permanent validity. You can revoke a key at any time.
  • Activity through your account or API keys, including credit charges, is treated as yours, except to the extent it results from our own breach of these Terms or failure to take reasonable care.
  • If a key leaks or your account is used without permission, revoke the affected keys in the console straight away and tell us at support@hermes-ai.net.

Building for your own users

You may integrate the Service into your own apps and products. If you do, you are responsible for giving your end users any required notices, having a lawful basis for processing their data, and making sure their use complies with our Acceptable use rules. Do not share, sell or rent your API keys or account access to others.

4.Credits and pricing#

The Service uses prepaid credits denominated in US dollars. Customer rates are shown on the Pricing page and each model page. Resolution, duration and output quantity may affect the quote. The final task price is locked when the task is accepted and charged only when it succeeds.

  • Credits can only be used to run tasks in the Service and have no cash value.
  • Credits cannot be exchanged for cash, withdrawn, transferred between accounts or sold, except for refunds under Refunds and cancellation or where the law requires otherwise.
  • Credits currently have no expiry date. If we introduce one, it will only apply to credits purchased or granted after the change, and we will give notice as described in Changes to these Terms.
  • We may grant promotional credits, for example for testing or as a goodwill gesture. Promotional credits are not refundable unless the law requires otherwise.

How a task is charged

  1. Hold. When a task is accepted, the model's current price is held from your available credits. If you do not have enough credits, the task is not accepted. If you send an expected price and the price has changed, the task is rejected and nothing is charged.
  2. Charge. When the task succeeds and its result has been stored, the held amount is charged.
  3. Release. If the task fails before it reaches the execution platform, or the platform reports a definite failure, the held amount is returned to your available credits.
  4. Needs review. If we cannot tell whether the platform received or ran a task (for example after a network interruption or an unclear response), the task is marked as needing review. The held amount is neither charged nor released, so that you are not charged twice. We check the platform's records and then charge or release the hold. This review is currently manual and has no fixed completion time. A task under review counts toward your concurrent-task limit, so please contact us if one stays in review for a long time.

Repeating a submission with the same Idempotency-Key returns the same task and is not charged again. You can see your balance, held credits and each ledger entry on the Billing and Usage pages of the console.

We may change model prices. A new price applies only to tasks submitted after the change; accepted tasks are charged at the price quoted when they were submitted.

5.Purchases and payment#

This section applies when an online purchase option is displayed in the Service. When online purchase is not available, credits can only be added to an account by us.

  • Credits are sold as one-off purchases. There are no subscriptions, automatic renewals or automatic top-ups: we will not charge you again unless you complete a new purchase. By completing checkout, you authorise the charge shown at checkout.
  • Checkout is hosted by a third-party payment provider. We intend to use Waffo Pancake, which may act as merchant of record (the seller of record) for your purchase. The checkout page will show who is selling to you, the total price and any provider terms that apply. Card details are entered with the payment provider; we do not receive or store full card numbers.
  • Any applicable taxes, such as VAT or sales tax, are calculated and shown at checkout before you pay. Taxes do not count toward the credits you receive.
  • Credits are added only after we receive confirmation that the payment succeeded. Being returned to our site after checkout is not by itself confirmation. If a payment succeeded but credits have not appeared after a reasonable time, contact us with your order number.

Billing problems

If you think a charge is wrong (for example a duplicate charge, a wrong amount, or a successful payment without credits), email us at support@hermes-ai.net with your account email, order number and a short description. We will look into it. This does not limit your right to raise a dispute with your card issuer or the payment provider.

6.Refunds and cancellation#

When you can get a refund

  • Unused purchase. If you ask within 7 days of a purchase and none of the credits from that purchase have been used, we will refund that purchase in full. We assess whether a purchase has been used from the order and your account's credit and usage records.
  • Billing errors. Duplicate charges, wrong amounts and other charges made in error are refunded in full.
  • If we end the Service or your account. If we close your account for a reason other than your breach of these Terms, or stop providing the Service, we will refund paid credits that have not been used.

What is not normally refunded

  • Credits charged for tasks that completed successfully.
  • The remaining balance of a purchase that has been partly used, unless a rule above or the law requires otherwise.
  • Promotional credits.
  • Credits in an account suspended or closed for a serious breach of these Terms, unless the law requires otherwise.

Credits that are held for a task, including a task that needs review, are considered once that task has been charged or released.

How to ask for a refund

Email support@hermes-ai.net with your account email, order number and the reason for your request. Refund requests are reviewed individually. Approved refunds go back to the original payment method, through the merchant of record where one was used, and the matching credits are removed from your account. How long the money takes to arrive depends on the payment provider and your bank.

Your statutory rights

Nothing in these Terms limits any cancellation, refund or other remedy you have under mandatory consumer law. Where applicable law requires your express request for immediate supply, or your acknowledgement of how that affects a cancellation right, we will ask for it separately where it applies. Simply using the Service does not waive any statutory right.

7.Acceptable use#

You may use the Service for lawful development, testing, product integration, research and creative work. You must not use the Service to:

  • create, upload or share unlawful content, or content that infringes anyone's intellectual property (including copyright or trademarks), privacy, image or publicity rights, or is defamatory;
  • create child sexual abuse material (CSAM), any sexual or sexualised content involving minors, or anything else that exploits or endangers children;
  • create pornographic, sexually explicit or other NSFW content, including nudity or sexual content intended to arouse, whether it depicts real people, adults or fictional characters;
  • generate, upload or distribute violent or gory content, including depictions of severe injury, dismemberment, torture or abuse;
  • generate, upload or distribute hate speech, including content that promotes hatred, discrimination or violence against people based on characteristics such as race, ethnicity, nationality, religion, sex, sexual orientation, gender identity or disability;
  • create intimate imagery of a real person without their consent, impersonate a real person's image, likeness or voice without their consent, or make deepfakes designed to mislead people about who made content or whether it is real;
  • commit fraud or scams, harass or threaten people, incite hatred or violence, or create phishing content, malware or tools for cyberattacks;
  • present AI output as advice from a qualified doctor, lawyer, financial adviser or other professional where this could cause harm;
  • break the terms of the selected model or of the execution platform;
  • probe, attack or bypass our security, access controls, rate limits or billing, or interfere with the Service;
  • share or resell API keys or accounts, or use them to get around credit, rate or concurrency limits;
  • break any applicable law or payment network rule.

Enforcement and reporting

We do not pre-screen every request, and we do not promise that prohibited content will be detected automatically. If we receive a report, or reasonably believe that use of the Service breaks these Terms or the law or could cause harm, we may review the relevant task records and remove or stop serving results, revoke API keys, restrict features, suspend or close the account, and report to the authorities where appropriate or required. Where practical and lawful, we will tell you why.

To report misuse, or output that infringes your rights, email support@hermes-ai.net with the task ID, any relevant links and other details that help us check the report.

8.Your content and outputs#

Your inputs

Prompts, parameters, images, videos and other material you submit ("inputs") remain yours or your licensors'. You give us a limited, non-exclusive permission to use inputs only to store and process them, send them to the execution platform, return results, operate and secure the Service, handle disputes and comply with the law.

You confirm that you have the rights needed for your inputs and that any person they depict, including their image and voice, has consented or there is another lawful basis. We do not use your inputs or outputs to train AI models of our own. How the execution platform and model developers handle data is governed by their own terms and policies.

Outputs

As between you and us, we do not claim ownership of the content you generate ("outputs"). You may use outputs as far as the law and the terms of the relevant model allow. Please note:

  • we do not guarantee that outputs are protected by copyright or other intellectual property rights, or that they do not infringe third-party rights;
  • similar or identical outputs may be generated for other users;
  • some models carry extra licence conditions, such as limits on commercial use or attribution requirements, and you are responsible for following them;
  • third-party rights and statutory rights are not affected by this section.

Our materials

The Service's software, interface, documentation and branding belong to us or our licensors. These Terms do not give you any rights to them beyond using the Service.

9.Privacy and data retention#

Our Privacy Policy explains how we handle personal data. In short:

  • Input files you upload expire 7 days after upload. Result files we store expire 30 days after they are saved. Once expired, a file can no longer be downloaded through the Service and is removed by a periodic maintenance process. Download any results you want to keep before then.
  • This expiry applies only to media files. Task records, including your input parameters and prompts, text results and status, and credit ledger entries are kept separately, as described in the retention section of the Privacy Policy.

10.Availability and changes to the Service#

We work to keep the Service reliable, but we do not promise that it will be uninterrupted or error-free, or meet any particular uptime or processing time. We may limit or pause some or all of the Service for maintenance, security, issues with third parties or legal reasons.

11.Warranties and liability#

To the extent the law allows, the Service and outputs are provided "as is" and "as available", and we make no other promises about them, including that they are accurate, fit for a particular purpose or do not infringe third-party rights. If you are a consumer, this does not affect your statutory rights, for example to services provided with reasonable care and skill and digital content that is as described.

To the extent the law allows:

  • we are not liable for losses that were not reasonably foreseeable, or for indirect or consequential losses;
  • if you use the Service for business purposes, we are not liable for loss of profit, revenue, business opportunity, data or goodwill;
  • our total liability arising from these Terms or the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

If you use the Service for business purposes, you are responsible, to the extent the law allows, for third-party claims against us arising from your inputs, your use of outputs or your breach of these Terms.

12.Suspension, termination and account closure#

  • You can stop using the Service at any time and delete your API keys in the console.
  • The console does not currently offer self-service account deletion. To close your account, email support@hermes-ai.net from your account email address. After verifying your identity, we will handle the request manually and explain how any unused paid credits will be treated under Refunds and cancellation and applicable law. The Privacy Policy explains what happens to your data.
  • We may suspend or close your account for a serious or repeated breach of these Terms, suspected fraud or abuse, or where the law requires it.
  • If we decide to stop providing the Service, we will give reasonable advance notice where possible and refund paid credits that have not been used.

13.Changes to these Terms#

We may update these Terms. For material changes, we will post a notice in the Service at least 14 days before the change takes effect and, where email delivery is available, also email the address on your account. The effective date and version at the top of this page show which version applies.

If you keep using the Service after a change takes effect, the updated Terms apply. If you do not agree, stop using the Service before then and, if you are eligible, request a refund under Refunds and cancellation. Changes to credit expiry or refund rules will not apply to credits you have already bought in a way that disadvantages you, unless the law requires otherwise.

14.Governing law and disputes#

These Terms are governed by the law of England and Wales. If you are a consumer, you also keep the protection of any mandatory provisions of the law of the country where you live.

The courts of England and Wales have jurisdiction over disputes. If you are a consumer, you may also bring proceedings in the courts of the part of the UK or the country where you live, where the law allows. These Terms do not require arbitration and do not waive your right to bring or join a claim in court.

16.General#

  • If any part of these Terms is found to be unenforceable, the rest remains in effect.
  • If we do not enforce a right straight away, we can still enforce it later.
  • These Terms, the Privacy Policy and any purchase conditions shown at checkout are the whole agreement between you and us about the Service.
